Luxe Glow Labs LLC, doing business as IonicMD ("IonicMD," "we," "our" or "us"), owns and operates ionicmd.com and its subdomains, including my.ionicmd.com (together, the "Website"). Clinical services offered through the Website are provided by independent licensed clinicians affiliated with OpenLoop Healthcare Partners, PC and its affiliated professional entities (the "Medical Group"). IonicMD does not practice medicine and does not provide medical services. These Terms of Use ("Terms") govern your access to and use of the Website and any products or services offered through it. By using the Website, or by clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Website.

SECTION 19 OF THESE TERMS CONTAINS A MANDATORY ARBITRATION PROVISION THAT REQUIRES INDIVIDUAL ARBITRATION TO RESOLVE DISPUTES. THIS MEANS YOU AND WE ARE EACH GIVING UP THE RIGHT TO SUE IN COURT OR IN A CLASS ACTION.

1. Privacy

Please review our Privacy Policy for how we collect and use personal information. If you become a patient of the Medical Group, your protected health information is handled under the Notice of Privacy Practices.

2. Changes to These Terms

We may revise these Terms from time to time. Changes are effective when posted, and your continued use of the Website after a change is posted means you accept the change, unless applicable law requires otherwise.

3. The Website Does Not Provide Medical Advice

CONTENT ON THE WEBSITE IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS OR TREATMENT. ALWAYS CONSULT A QUALIFIED HEALTHCARE PROVIDER ABOUT ANY MEDICAL CONDITION. "PROVIDER" MEANS AN INDEPENDENT LICENSED CLINICIAN OR PROFESSIONAL ENTITY THAT PROVIDES CLINICAL SERVICES TO YOU THROUGH OR IN CONNECTION WITH THE WEBSITE. Any treatment decision, including whether a prescription is appropriate, is made solely by your Provider in their independent professional judgment. Not every person who completes an assessment will be prescribed medication.

4. Telehealth Services

Clinical services are provided via telehealth. Before receiving care you must review and agree to the Telehealth Consent. You agree to provide complete and accurate health information. You must be at least 18 years old and located in a state where services are available at the time of your visit.

5. Reliance on Information Posted

We do not warrant the accuracy, completeness or usefulness of information on the Website. Any reliance you place on it is at your own risk.

6. Communications; Electronic Notices and Signatures

By creating an account, you consent to receive electronic communications from us and the Medical Group, including by email, text message (SMS) and notices posted to the Website. These may include account, order and care-related messages. Message and data rates may apply. You may opt out of promotional emails at any time using the unsubscribe link. You agree that electronic notices and agreements satisfy any requirement that they be in writing, and that selecting a button, checkbox or similar action constitutes your electronic signature.

7. Ownership of the Website and Content

The Website and its content are owned by IonicMD or its licensors and are protected by copyright, trademark and other laws. The IonicMD name and logo are our trademarks; you may not use them without our prior written permission. Other names and marks belong to their respective owners.

8. Your Use of the Website

You may use the Website for your personal, non-commercial use only. You agree not to: copy, modify, distribute or reverse-engineer the Website; use it in violation of law; impersonate any person; use robots, scrapers or other automated means to access it; introduce viruses or harmful code; attempt to gain unauthorized access to the Website or related systems; or otherwise interfere with its proper working.

9. Pharmacy and Fulfillment; Shipping; Packaging

If your Provider issues a prescription, it may be fulfilled by one of our partner pharmacies ("Partner Pharmacies") or a pharmacy of your choice, depending on the program and your location. You authorize your Provider and the Website to transmit prescription information to a pharmacy for dispensing and shipment, as permitted by law. Prescriptions may be transferred among pharmacies for fulfillment, availability or operational reasons, consistent with law. Shipping times are estimates. Certain medications require refrigeration; you are responsible for receiving shipments promptly and following storage instructions. Some medications may ship in non-child-resistant packaging where permitted; keep all medications out of reach of children.

Compounded medications are prepared by state-licensed pharmacies for individual patients based on a prescription. Compounded medications are not approved by the U.S. Food and Drug Administration (FDA), and the FDA does not verify their safety, effectiveness or quality.

State Coverage

Services are available in all 50 states and Washington D.C. Medication and product availability varies based on clinical appropriateness, applicable federal and state laws, or other regulatory requirements. Not all therapies are available in all states. Availability is subject to change.

10. Payment; Subscriptions; Automatic Renewal

By providing a credit card or other accepted payment method, you authorize us (or our payment processor) to charge it for all fees for your purchase, plus applicable taxes. Services are offered on a cash-pay basis and are not billed to insurance; we do not guarantee that any amount is eligible for reimbursement by insurance, HSA or FSA. If you enroll in a subscription or recurring program, you authorize recurring charges to your payment method until you cancel. Subscription terms, billing frequency and cancellation deadlines are disclosed at checkout and in your account. To avoid a renewal charge, you must cancel before the cutoff disclosed at checkout. Payments are processed by third parties; we do not store full card numbers. If you initiate a chargeback, we may suspend your account, and amounts legitimately owed may be subject to collection.

11. Cancellations and Refunds

Cancellations and refunds are governed by our Cancellation & Refund Policy. Except as stated in that policy or required by law, all sales are final.

12. Promotions

We may offer promotions, discounts or referral programs, which may be subject to additional terms. Those terms control if they conflict with these Terms.

13. Termination

We may suspend or terminate your access to the Website at any time, for any reason, with or without notice. Provisions that by their nature should survive termination will survive, including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law and Dispute Resolution.

14. Links to Third-Party Sites

Links to third-party websites are provided for convenience only. We do not control or endorse them and are not responsible for their content or practices.

15. Disclaimer of Warranties

THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." YOUR USE OF THE WEBSITE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, IONICMD AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IONICMD AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS AND DIRECTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

17. Indemnification

You agree to defend, indemnify and hold harmless IonicMD and its affiliates, licensors and service providers, and their officers, directors, employees and agents, from any claims, losses, damages and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Website.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.

19. Dispute Resolution; Arbitration

You and we agree to first try to resolve any dispute informally by written notice. If a dispute is not resolved within 30 days of notice, it will be resolved by individual, binding arbitration administered by JAMS under its Streamlined Arbitration Rules & Procedures, before a single arbitrator, by video or telephone unless the arbitrator decides an in-person hearing is needed. Any claim must be brought within one year after it arises. YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR OTHER REPRESENTATIVE PROCEEDING. Either party may seek relief in court to protect intellectual property rights.

20. Waiver and Severability

Our failure to enforce any provision is not a waiver. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms will remain in effect.

21. Geographic Restrictions

The Website is intended for users located in the United States.

22. Entire Agreement

These Terms, together with the policies referenced in them, are the entire agreement between you and IonicMD regarding the Website.
